These Terms of Service apply to the use of the Private Label Trade online store and to purchases made through our website.

By accessing our website, placing an order, creating an account or contacting us through the website, you agree to these Terms of Service. If you do not agree with these Terms, you should not use our website or place an order.
1. About our products
Private Label Trade sells stock white label products.
Products sold through our online store are standard stock products supplied without customer branding, labels, stickers or personalised design, unless expressly stated otherwise on the product page or agreed separately in writing.
Products are not custom-made, not personalised, not custom-labelled and not custom-packaged when purchased directly through the online store.
If you would like to order personalised, custom-labelled, custom-packaged or otherwise customised products, please contact our sales team. Such orders are handled separately and may be subject to separate quotations, lead times, minimum order quantities, payment terms and commercial terms.
2. Minimum order quantity
The minimum order quantity for products sold through the online store is 10 units, unless a different minimum order quantity is stated on the relevant product page.
We may reject, cancel or refund orders that do not meet the applicable minimum order quantity.
If a product page, quotation or written agreement states a different minimum order quantity, that specific minimum order quantity applies to the relevant product or order.
3. Consumer and business customers
Our online store may be used by both consumers and business customers.
A “consumer” means a natural person who purchases products for purposes that are not related to their business, trade or professional activity.
A “business customer” or “B2B customer” means a company, sole trader or any person purchasing products for business, resale, trade or professional use.
If you place an order using company details, a VAT number, or for resale, trade or professional use, the order will be treated as a B2B order.
Nothing in these Terms limits any mandatory consumer rights that apply under applicable law.
4. Use of the website
You agree to use our website only for lawful purposes.
You must not:
- use the website in a way that violates applicable laws or regulations;
- provide false, inaccurate or misleading information;
- interfere with the security or proper operation of the website;
- attempt to gain unauthorised access to our systems;
- copy, scrape, reproduce or misuse website content for unlawful or unauthorised commercial purposes;
- place fraudulent orders or use payment methods without authorisation.
We may restrict or refuse access to the website if we reasonably believe that these Terms have been violated.
5. Product information
We aim to present product information, descriptions, images, quantities, prices and availability as accurately as possible.
However, minor differences may occur between product images and the actual product, including differences in colour, packaging, batch appearance or presentation. Product images are for illustrative purposes unless expressly stated otherwise.
It is your responsibility to check the product description, quantity, minimum order quantity, ingredients or materials where applicable, intended use, compatibility and any other relevant product information before placing an order.
For business customers, resellers and professional users, it is your responsibility to ensure that the products are suitable for your intended commercial purpose and target market.
6. White label and resale responsibility
If you purchase products for resale, branding, relabelling, repackaging, distribution or professional use, you are responsible for complying with all laws, regulations and standards applicable in the country where you market, sell, distribute or use the products.
This may include, where applicable, requirements relating to product labelling, language, safety instructions, claims, packaging, product registration, importer obligations, responsible person obligations, tax, customs, advertising and consumer protection.
Unless expressly agreed otherwise in writing, we do not provide legal, regulatory or compliance advice for your resale, branding, relabelling, repackaging, marketing or distribution activities.
7. Orders
When you place an order through our online store, you are making an offer to purchase the selected products in accordance with these Terms.
After you place an order, you may receive an order confirmation email. This confirms that we have received your order, but it does not necessarily mean that the order has been accepted if there is an error, stock issue, payment issue or other valid reason preventing fulfilment.
We reserve the right to refuse, cancel or limit an order where:
- the product is unavailable;
- the order does not meet the minimum order quantity;
- the price or product information contains an obvious error;
- payment is not authorised or is reversed;
- fraud or misuse is suspected;
- shipping to the destination is not possible;
- the order appears to be placed for unlawful or unauthorised purposes;
- we are unable to fulfil the order for reasons outside our reasonable control.
If we cancel an order after payment has been made, we will refund the amount paid for the cancelled items, unless we are legally entitled to withhold payment due to suspected fraud or misuse.
8. Prices, VAT, taxes and import charges
Prices are shown in the currency displayed at checkout.
Prices may include or exclude VAT, taxes, duties or other charges depending on your location, customer type, tax status and the settings shown at checkout.
For international orders, import duties, customs charges, taxes, brokerage fees and similar charges may be applied by the destination country. These charges are not controlled by us and are the responsibility of the customer unless expressly stated otherwise at checkout.
Business customers are responsible for providing accurate company, VAT and tax information where applicable.
We may change prices at any time. Price changes do not affect orders that have already been accepted, unless there was an obvious pricing error.
9. Payments
Payment must be made using one of the payment methods available at checkout.
Orders are normally processed only after payment has been authorised or received.
You confirm that you are authorised to use the payment method provided. If payment is declined, reversed, charged back or suspected of fraud, we may suspend or cancel the order.
Payment processing may be handled by third-party payment service providers. We are not responsible for delays, errors or decisions made by your bank, card provider or payment provider.
10. Shipping and delivery
Shipping options, estimated delivery times and shipping costs are shown at checkout or in our Shipping Policy.
Delivery times are estimates only and may vary depending on destination, carrier, customs clearance, holidays, force majeure events or other circumstances outside our control.
You are responsible for providing complete and accurate delivery information. We are not responsible for delays, failed deliveries, returned parcels or additional costs caused by incorrect or incomplete delivery details provided by the customer.
For international shipments, customs processing may cause delays. We are not responsible for delays caused by customs authorities, import procedures or incomplete customs information provided by the customer.
11. Risk and delivery
For consumer orders, risk generally passes to the customer when the products are physically received by the customer or by a person designated by the customer, unless mandatory law provides otherwise.
For B2B orders, risk may pass in accordance with the applicable delivery method, shipping terms, quotation, invoice or written agreement. If no specific shipping terms are agreed, risk passes to the business customer when the order is handed over to the carrier, to the extent permitted by law.
12. Returns, refunds and cancellations
Returns, refunds and cancellations are handled according to our Return and Refund Policy, which forms part of these Terms.
Consumers may have a statutory right of withdrawal for eligible online purchases. Nothing in these Terms limits mandatory consumer withdrawal rights.
For B2B orders, all sales are final unless otherwise agreed in writing or unless the product is defective, incorrect, incomplete or damaged before or during delivery to you.
If you wish to cancel an order, please contact us as soon as possible at shop@privatelabeltrade.com. We cannot guarantee that cancellation is possible once an order has entered processing, packing or shipping.
13. Damaged, defective or incorrect products
If your order arrives damaged, defective, incomplete or incorrect, please contact us as soon as possible at: shop@privatelabeltrade.com
Please include your order number, a description of the issue and clear photos of the product and packaging where relevant.
Please keep the product and all packaging until we have reviewed the issue.
Depending on the situation and applicable law, we may offer a replacement, refund, repair, partial refund or another reasonable solution.
14. Customer accounts
If customer accounts are available, you are responsible for keeping your login details secure and confidential.
You are responsible for all activity carried out through your account, unless the activity was caused by our fault or by circumstances for which you are not responsible under applicable law.
You must provide accurate and up-to-date account information.
We may suspend or close an account if we reasonably believe it has been used fraudulently, unlawfully or in violation of these Terms.
15. Promotions, discounts and offers
We may offer discounts, promotional codes or special offers from time to time.
Promotions may be subject to additional terms, expiry dates, minimum order values, product exclusions, customer eligibility rules or usage limits.
Unless expressly stated otherwise, promotions cannot be combined with other offers and cannot be exchanged for cash.
We may cancel or refuse the use of a promotion if we reasonably believe it has been misused or applied in error.
16. Intellectual property
All content on our website, including text, images, product presentation, graphics, logos, design, layout and other materials, is owned by us or licensed to us, unless stated otherwise.
You may not copy, reproduce, distribute, modify, publish, sell or exploit website content without our prior written permission, except as permitted by mandatory law.
Purchasing products from us does not transfer any intellectual property rights in our website, brand, images, text, product materials or other content.
17. Third-party services and links
Our website may include links to third-party websites, tools, payment providers, shipping providers or other services.
We are not responsible for the content, terms, privacy practices, availability or performance of third-party websites or services.
Your use of third-party services may be subject to separate terms and privacy policies.
18. Privacy
We process personal data in accordance with our Privacy Policy.
By using our website or placing an order, you acknowledge that your personal data may be processed for purposes such as order fulfilment, payment processing, shipping, customer support, legal compliance, fraud prevention and marketing where applicable.
19. Limitation of liability
Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law.
Nothing in these Terms limits mandatory consumer rights.
To the maximum extent permitted by law, we are not liable for:
- indirect, incidental, special or consequential loss;
- loss of profit, revenue, business, goodwill or opportunity;
- resale losses or losses caused by your own marketing, relabelling, repackaging or distribution decisions;
- delays caused by carriers, customs, payment providers or other third parties;
- losses caused by incorrect information provided by the customer;
- losses caused by use of products contrary to instructions, intended use or applicable law.
For B2B orders, to the maximum extent permitted by law, our total liability arising from an order is limited to the amount paid by the business customer for the specific products giving rise to the claim.
20. Force majeure
We are not responsible for failure or delay in performing our obligations where this is caused by events outside our reasonable control.
Such events may include natural disasters, war, terrorism, civil unrest, strikes, labour disputes, epidemics, pandemics, government restrictions, customs delays, transport disruptions, carrier failures, supplier disruptions, power failures, internet outages, cyberattacks or other events beyond our reasonable control.
21. Governing law and disputes
These Terms and any purchase made through our online store are governed by the laws of Estonia, unless mandatory consumer protection rules provide otherwise.
We encourage customers to contact us first so that we can try to resolve any issue directly.
For consumer disputes involving an Estonian consumer and an Estonian trader, the Consumer Disputes Committee in Estonia may be competent to resolve the dispute if the matter cannot be resolved directly.
For B2B disputes, the courts of Estonia have jurisdiction, unless otherwise agreed in writing.
22. Changes to these Terms
We may update these Terms from time to time.
The version of the Terms in force at the time of your order applies to that order, unless a change is required by law or by a competent authority.
The latest version of these Terms will be available on our website. The “Last updated” date shows when the Terms were last revised.
